IMPORTANT NOTICE: PLEASE READ THESE TERMS OF USE CAREFULLY. BY COMPLETING THE REGISTRATION PROCESS, CREATING AN ACCOUNT, OR ACCESSING OR USING ANY OF THE PLATFORM AND/OR SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF USE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH ADSPECTRE, (3) THE INFORMATION YOU PROVIDED IN CONNECTION WITH YOUR REGISTRATION FOR THE PLATFORM/SERVICES IS TRUE, ACCURATE AND COMPLETE, AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS OF USE PERSONALLY OR ON BEHALF OF THE BUSINESS ENTITY YOU HAVE NAMED AS THE USER, AND TO BIND THAT BUSINESS ENTITY TO THE AGREEMENT.

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Adspectre Inc., a corporation incorporated under the laws of Quebec ("Adspectre," "we," "us," or "our") governing your access to and use of the Adspectre platform, website, and services (collectively, the "Platform").

Once accepted, these Terms, in combination with our Privacy Policy, Data Processing Agreement (where applicable), and any other applicable policies (collectively the "Agreement"), become a binding legal commitment between you (or the business entity that you represent) and Adspectre.

Quebec Consumer Protection: If you are a consumer residing in Quebec, certain provisions of the Quebec Consumer Protection Act apply to this Agreement. These Terms comply with all requirements of Quebec law, including provisions regarding dispute resolution.

1. Use of Platform

1.1. Acceptance and Eligibility

By accessing or using the Adspectre services, you explicitly agree to be bound by these Terms. You must be at least 18 years old to use the Platform. By accepting these Terms, creating a Platform Account, or using the Platform, you represent that you are at least 18 years old and have the legal capacity to enter into contracts.

1.2. Platform Account Ownership

Your use of the Platform is conditioned on your provision of complete, current, and accurate information when registering for a Platform Account. The Platform is intended for business use or in connection with an individual's trade, craft, or profession. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

1.3. Language of Contract

In accordance with Quebec law, these Terms are available in both English and French. You acknowledge that you have requested that these Terms and all related documents be drawn up in English. 2. Description of Services and Permitted Use

Adspectre provides a platform designed to assist businesses in optimizing their digital advertising efforts and managing their social media presence. Our services include enabling users to connect their Facebook and Instagram accounts, manage advertising campaigns, and access performance data. The service is intended for business and commercial use. You are prohibited from using the site for any other purpose without our express prior written consent.

Adspectre does NOT scrape, crawl, or collect data through any unauthorized means from any social media platforms or websites. We access platform data exclusively through official, authorized APIs (such as Facebook Graph API, Google Ads API, etc.) that require explicit user consent and proper authentication. All data access is conducted in full compliance with platform terms of service and privacy policies.

2.1. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You are required to provide accurate, current, and complete information during registration and to keep this information updated. Furthermore, you affirm that you possess all necessary rights, licenses, and permissions from your clients (if applicable) to connect and manage ad accounts and business pages via the Adspectre platform, ensuring compliance with all relevant third-party terms and policies.

Important Notice for Multi-Account Users: If you are managing multiple brands or client accounts on Adspectre, you must ensure you have proper authorization to access and manage their advertising accounts.

3. Intellectual Property Rights

Adspectre's Intellectual Property

Adspectre explicitly retains all ownership rights to its platform, software, content, trademarks, logos, and any derivative works created from them. Users are granted a limited, non-exclusive, non-transferable license to use the service solely for its intended purpose.

User-Generated Content (UGC)

If Adspectre's platform allows users to upload or create content (e.g., ad creatives, text for advertisements), these Terms specify that users retain ownership of their intellectual property rights in such UGC. However, users grant Adspectre a royalty-free, perpetual, irrevocable, worldwide, non-exclusive license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of any UGC for the purpose of operating, providing, or improving the Adspectre service. This license remains in effect even if the user stops using the platform.

Client Data

Clients retain ownership of their ad account data and business page data accessed or managed through Adspectre.

3.1. Meta Platform Compliance & Acceptable Use

Compliance with Meta Platform Policies

As a certified Meta platform partner, Adspectre requires all users to comply with Meta's Platform Terms, Community Standards, and Advertising Policies. Your use of Adspectre to manage Facebook and Instagram accounts constitutes your agreement to abide by these policies.

Important:Violations of Meta's policies through Adspectre may result in immediate suspension of both your Adspectre account and your Meta platform access.

Strictly Prohibited Activities:

Data Collection & Privacy Violations:

  • Collecting Facebook/Instagram usernames, passwords, or access tokens
  • Using automated means (bots, scrapers, crawlers) to access Meta platforms
  • Storing or caching Meta platform data beyond permitted timeframes
  • Selling, licensing, or purchasing any data obtained from Meta platforms
  • Using Meta data for surveillance, background checks, or unauthorized purposes

Content & Advertising Violations:

  • Creating or promoting misleading, false, or deceptive content
  • Posting spam, unauthorized commercial communications, or repetitive content
  • Circumventing Meta's ad review process or policies
  • Promoting prohibited products or services (weapons, drugs, adult content, etc.)
  • Using discriminatory targeting or messaging in advertisements

Deepfake & Synthetic Media Violations:

  • Using lip-syncing tools, deepfake technology, or voice cloning software
  • Creating synthetic media that impersonates real individuals without explicit consent
  • Generating AI content that misrepresents identity, appearance, or speech
  • Producing misleading videos, audio, or images using artificial intelligence
  • Creating non-consensual synthetic media of any individual
  • Using AI tools to fabricate testimonials, reviews, or endorsements
  • Manipulating facial expressions, voice, or body language through AI without disclosure

Adspectre's Position on Authentic Content: We believe in promoting genuine, authentic user-generated content. Our AI tools are designed to enhance real content, not create deceptive synthetic media. All AI-generated content must be clearly labeled and transparent to viewers.

Platform Manipulation:

  • Creating fake accounts or impersonating individuals/organizations
  • Artificially inflating engagement metrics (likes, shares, followers)
  • Circumventing Meta's platform limitations or security measures
  • Replicating core Facebook/Instagram features without permission
  • Using Meta trademarks or icons in misleading ways

Multi-Account Management:

  • Managing accounts without proper client authorization
  • Sharing access credentials between unauthorized users
  • Using client data for purposes beyond agreed services
  • Failing to remove access when client relationships end
  • Commingling data from different clients without permission

Required Best Practices:

  • Obtain explicit consent before accessing client accounts
  • Use only official Meta APIs and authentication methods
  • Respect rate limits and platform guidelines
  • Maintain separate data storage for each client
  • Implement strong security measures for all account access
  • Promptly report any security breaches or unauthorized access

Enforcement & Consequences: Violations of these policies will result in:

  • Immediate suspension or termination of your Adspectre account
  • Reporting to Meta, potentially affecting your Facebook/Instagram access
  • Legal action for damages caused to Adspectre or third parties
  • Forfeiture of any prepaid fees or credits

3.2. TikTok Platform Compliance & Publishing Terms

Publishing Responsibility

Users are solely responsible for all content they publish to TikTok via Adspectre. All content published through Adspectre must comply with TikTok's Terms of Service, Community Guidelines, and Advertising Policies. Adspectre will not overlay watermarks, logos, or promotional branding on content posted to TikTok.

Music Usage Acknowledgement

TikTok requires creators to acknowledge music usage rights before publishing. By publishing content to TikTok through Adspectre, you agree to TikTok's Music Usage Confirmation. This disclosure is also presented in the Adspectre publishing interface before the publish action is initiated.

Commercial Content Disclosure

Users are responsible for accurately disclosing branded, sponsored, or otherwise promotional content when publishing to TikTok. Adspectre provides the toggles required to flag commercial content during publishing, but the user is solely liable for accurate disclosure and compliance with applicable advertising and consumer protection laws.

Content Visibility Disclaimer

While Adspectre's TikTok integration is pending audit by TikTok, posts published through the Content Posting API may be restricted to SELF_ONLYviewership (visible only to the publishing creator). Once Adspectre's integration completes TikTok's audit, public visibility options will become available subject to TikTok's approval.

Rate Limits & Publishing Caps

Publishing through TikTok's Content Posting API is subject to TikTok's rate limits. TikTok currently limits creators to approximately 15 posts per account in a 24-hour window. Adspectre cannot guarantee successful publishing if a user exceeds TikTok's rate limits.

Account Data Ownership

Users retain full ownership of their TikTok accounts, content, and associated data. Adspectre safeguards TikTok-related data in accordance with TikTok's Developer Guidelines and the Adspectre Privacy Policy. Users may revoke Adspectre's access to TikTok at any time through their TikTok account settings or by disconnecting the integration within Adspectre.

7. Disclaimers of Warranties

Adspectre's services are provided "as is" and "as available," without warranties of any kind, either express or implied, to the fullest extent permitted by law. This includes disclaiming implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

Subject to applicable law, Adspectre's liability for any damages arising from the use or inability to use the service will be limited to the maximum extent permitted by law.

For Business Users:In no event shall Adspectre's total liability exceed the amount paid by you to Adspectre in the twelve (12) months prior to the event giving rise to the liability.

For Quebec Consumers:Nothing in these Terms excludes or limits Adspectre's liability for damages that cannot be excluded or limited under the Quebec Consumer Protection Act. Quebec consumers maintain all rights and recourses provided under Quebec law.

Important:Under Quebec law, clauses that attempt to exclude or limit a merchant's liability for its own fault or that of its representatives are prohibited in consumer contracts and are null and void.

9. Indemnification

Users agree to indemnify, defend, and hold harmless Adspectre and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with their use of the service, their user-generated content, or their breach of the Terms of Use.

10. Termination of Service

These Terms of Use outline the conditions under which either Adspectre or the user may terminate the agreement. Adspectre reserves the right to suspend or terminate user access for violations of the Terms, including prohibited conduct.

Termination by User: You may terminate your account at any time by contacting our support team. Upon termination, your right to use the service will immediately cease.

Termination by Adspectre: We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

11. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution for Business Users: For business users and non-consumer transactions, any dispute arising from these Terms may be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada. The arbitration shall be conducted in Montreal, Quebec, in the French or English language as chosen by the parties.

Dispute Resolution for Quebec Consumers: In accordance with the Quebec Consumer Protection Act, consumers have the right to bring any dispute before the Quebec courts. Pre-dispute arbitration clauses are prohibited for consumer contracts. However, after a dispute arises, consumers may voluntarily agree to arbitration if they choose.

Jurisdiction: For all disputes not subject to arbitration, the parties irrevocably submit to the exclusive jurisdiction of the courts of the Province of Quebec, District of Montreal.

Class Action Rights for Consumers: Quebec consumers retain their rights under the Quebec Consumer Protection Act, including the right to participate in class action lawsuits. Any provision attempting to waive these rights is null and void under Quebec law.

4. White Labeling and Resale

4.1. Resale Restrictions

When reselling access to the Platform, you agree that you are fully liable to your customers for their access to and use of the Platform, and you are solely responsible for the resolution of all customer disputes and inquiries.

4.2. White Label License

Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Platform including the design and trade-dress, as may be reasonably required for re-branding and reselling access under your own white-label brand.

4.3. White Label Responsibilities

You are responsible for all aspects of your white-label service, including pricing, customer support, and compliance with all applicable laws. You may not directly or indirectly solicit existing Adspectre customers to cancel their accounts in order to purchase a subscription to your white-label version of the Platform.

5. Payment Terms

5.1. Fees and Taxes

All fees are quoted in US dollars (USD) and include all applicable taxes. For customers in Quebec, the advertised prices include Quebec Sales Tax (QST) and Goods and Services Tax (GST). For customers in other jurisdictions, local taxes may apply and will be calculated at checkout if required by law.

5.2. Payment Methods

We accept major credit cards and other payment methods as displayed on our platform. All payments are processed securely through our payment processors. You authorize us to charge your selected payment method for all fees due.

5.3. Refund Policy

Adspectre is consumption-based: each generation incurs an underlying compute cost on third-party AI providers (image, video, music, voice models) at the moment it is generated. Once credits have been used to produce content, the corresponding compute has already been paid for and is non-refundable.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation prevents further billing cycles; it does not refund the current cycle, and used credits remain non-refundable.

Trial credits: The 50 trial credits granted on signup have no monetary value and are not redeemable for refunds.

All other fees are non-refundable except as required by law. For Quebec consumers, refunds will be provided in accordance with the Quebec Consumer Protection Act where applicable, including during any applicable cooling-off period.

6. Definitions

  • "Platform" means any services, content, functionality, and software offered by Adspectre through its website or applications.
  • "Platform Account" means the account you created to access and use the Platform.
  • "Services" means the variety of features and integrations that Adspectre makes available on the Platform.
  • "User Contributions" means content or materials that you post, submit, upload, publish, display, or transmit on or through the Platform.
  • "White Label" means the ability to rebrand and resell the Platform under your own brand identity.
  • "Quebec Consumer" means a natural person residing in Quebec who uses the Platform for personal, family, or household purposes.

12. Communications and Notices

All notices to a party shall be in writing and shall be made via email or registered mail. Notices to Adspectre must be sent to:

13. Code of Conduct

Users must comply with all applicable laws and regulations when using the Platform. This includes, but is not limited to:

  • Compliance with Canada's Anti-Spam Legislation (CASL)
  • Respect for intellectual property rights
  • Compliance with privacy laws including Quebec's Act respecting the protection of personal information in the private sector
  • Adherence to advertising standards set by Ad Standards Canada
  • Compliance with the Competition Act of Canada

14. Additional Terms

14.1. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes at least 30 days in advance via email or through the platform. Your continued use of the service after such modifications constitutes acceptance of the updated Terms. For Quebec consumers, any changes that increase your obligations or reduce our obligations will only apply to future contracts.

14.2. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other legal notices published by Adspectre on the platform, constitute the entire agreement between you and Adspectre concerning the use of the platform.

14.3. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. For Quebec consumers, any provision that is null under the Consumer Protection Act shall be severed without affecting the validity of the remaining provisions.

14.4. Assignment

Adspectre may assign its rights under these Terms at any time. You may not assign your rights under these Terms without Adspectre's prior written consent.

14.5. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms which is due to acts of God, natural disasters, pandemic, war, terrorism, riots, labor disputes, or other unforeseeable causes that are beyond the reasonable control of such party.
